This course provides an introduction to comparative contract law. It contains a presentation of various systems of contract law around the world, with a special emphasis on English and European contract law. The UNIDROIT Principles of International Commercial Contracts will also be discussed. Also, the course will provide a comparative analysis of digital contracts. |

Topics, which will be discussed during the classes: I) Introduction: what is 'Comparative Law'? II) Legal systems around the world - in particular common and civil law systems III) Contract Law Theory IV) Framework of European contract law V) Selected other systems of contract law, in particular English and U.S. contract law VI) Most important aspects of comparative contract law: - sources of contract law - promise and contract - formation of contract - negotiations - content - interpretation - defects of consent - breach of contract and remedies - supervening events VII) UNIDROIT Principles of International Commercial Contracts VIII) Case study: Legal framework for digital contracts in the EU and in the common law coutries. |
